Pathagoras Software Licensing Agreement (End User Licensing Agreement -- EULA)

*License-Agreement - Pathagoras™:

As used here, the following words and abbreviations have the following meanings:

‘Software’ and ‘Program’: Pathagoras™, a document assembly and document management program.

ISPV: Innovative Software Products of Virginia, LLC, and Roy H. Lasris, the author and owner of the Software.

You: The primary purchaser of the license to use the Software and any user authorized by the primary purchaser of the Software to use the Software.

This End-User License Agreement is a legal agreement between You and the author of the Software. The Software includes the program code, the medias belonging to it, printed and electronic documentation.

By installing, copying or any other use of this software product you agree to the terms of this agreement. If you do not agree to the terms of this agreement you should not install the Software on your computer.

* Warranty and Disclaimers:

    The author of this Software product has tested and verified the Software as best as possible to make sure the program performs as represented in the literature and advertisements, including the Pathagoras.com web site. Normal usage on compatible equipment is presumed. Because of complexities of computer software, we can not guarantee that the software or documentation does not contain errors or works without interruption on every equipment and software configuration. We further cannot guarantee that it can fulfill your needs (but offer a 30 day unconditional money back guarantee if you determine that it does not). Therefore, the software and the documentation are distributed in its present state and you accept all risks with the usage. The author does not make any warranty either express or implied to the software or the documentation about its fitness generally or its qualification for special purposes except those warranties that are imposed by law or treaty.

    THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO MERCHANTABILITY OR ANY OTHER WARRANTIES UNLESS OTHERWISE EXPRESSED OR REQUIRED BY LAW OR TREATY.

    Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it, and that appropriate backups of critical imformation and files be made before running the program against such information.

    The author of this Software warrants that he owns all intellectual property interests in the Software that it does not infringe upon or misappropriate any intellectual property rights of any third party

* License Grant:

    Innovative Software Products of Virginia, LLC, (ISPV) grants you a limited, nonexclusive license to install and use the Software, in machine-readable form only, solely for your own personal or for business use on a single computer in accordance with the instructions, specifications and documentation provided with the Software. The license also extends to any other user who may use the computer upon which the Software has been installed.

    Only one 'primary' installation per license is allowed.

    Additionally, a single 'secondary' installation is allowed by this license to either (1) the owner's laptop computer or (2) the owner's home computer. The purpose of the 'secondary' installation shall be for testing and source document preparation, for training and self-improvement, and for secondary production work. If multiple licenses have been purchased, a 'secondary' installation is allowed on a single laptop or home computer of any designee of the owner, with the limitation that no more than 1 'secondary' installation shall be allowed for each license owned.

    The 'secondary' installation grant described above does not include the right to install the Program on a second computer that is frequently and simultaneously used with any 'primary' computer.

    You may make one (1) additional copy of the Software for backup and archival purposes only, provided that you reproduce all copyright and other proprietary notices that are on the original copy of the Software.

    Installation on terminal servers (such as Microsoft(r) Terminal Services, Citrix(r) and similar products): As an exception to the one-computer/one-license allowance stated above (which allows multiple users who use a single computer to share Pathagoras so long as such sharing does not involve simultaneous use), one license of Pathagoras shall be required for each possible (not actual) simultaneous 'user' on such terminal server.

*Demo Versions

   You are allowed to use the demo version of the software for evaluation purposes for up to 90 days after installation. Extensions of the 90 day trial are available, but only with the express permission of ISPV.

* Prohibited practices:

You May NOT:

   * Remove or alter any of the program's copyright notices from any components of Program.

   * Sublicense, transfer, sell, rent or lease all or any part of the Program to an entity outside of your organization.

   * Modify, adapt, translate, create derivative works, decompile, disassemble, or otherwise reverse engineer or attempt to reverse engineer or derive or attempt to derive the source code from the program, or authorize any third party to do any of the foregoing, except to the extent allowed under any applicable law, or except that otherwise agreed in writing.

* Copyright and Other Restrictions:

    The Program is owned by ISPV and is protected by the United States copyright laws and international treaty provisions.  ISPV retains all rights not expressly granted. None of the components of the program (including the documentation) may be copied, removed or altered, in whole or part, for any unauthorized use.

    The Software contains trade secrets, trademarks, patents, and copyrights owned by ISPV. You shall maintain the Software in confidence. You shall not allow any access to or use of the Software by anyone other than You, or Your employees or agents, and any such use must be consistent with the terms, conditions and restrictions set forth in this Agreement.

* Ownership:

    The Software is licensed, not sold, to You for your use only under the terms of this Agreement.  ISPV reserves all rights not expressly granted to You. You own the media, if any, on which the Software is recorded, but ISPV retains ownership of all copies of the Software itself.

* Updates:

    From time to time, ISPV makes new releases, revisions or enhancements to the Software ("Updates") available to You.  Your purchase must be recorded with ISPV either through product registration or a direct purchase through www.pathagoras.com for You to be notified of, and be entitled to, the Updates.  You may download and install those Updates, if any, within one (1) year of your purchase of the program, and thereafter for as long as Your Annual Support Subscription is valid.

* Support: 

    ISPV will provide You with email or telephone technical support for the Software for one (1) year from the date you purchase the Software, and thereafter for as long as Your Annual Support subscription is valid.

    If you have purchased a bulk or site license, in consideration of the sales price discount associated with the bulk/site licenses, You agree to designate, upon request by ISPV, a single point of contact through which support matters will be channeled and with whom ISPV will communicate regarding such support matters.
